Resolve Pro's board decisions moved fast. The administrative work behind them did not. Notices, resolutions and statutory registers were produced by hand, and it was assumed that careful people would keep it all straight. As decisions piled up, errors crept in, and finalising and circulating a resolution took days. Leadership had no live view of the deadlines that carried legal consequences. Governance was a document store with a person attached, not an active part of the process. That was heading toward the failures that matter in governance: a statutory deadline missed without anyone noticing, an incorrect register entry, a notice that did not hold up. Each one exposes the company and its directors to penalties and audit findings.
